1. Acceptance of Terms

By downloading, installing, accessing, or using the FairShift mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Babak Sameul Sadri ("we," "us," or "our") regarding your use of the App.

2. Description of Service

FairShift is a shift scheduling application designed to help users create and manage work schedules. The App provides:

• Shift category management

• Team member management

• Calendar-based shift assignment

• Automatic schedule generation using a fairness-based algorithm

• Time-off request tracking

• PDF export functionality

• Schedule saving and organization (Premium feature)

The App is intended as a scheduling tool to assist with shift management. It does not guarantee any particular outcome, workplace fairness, or compliance with labor laws.

3. Eligibility

You must be at least 13 years of age to use this App. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts and Subscriptions

4.1 Free Tier

The App offers a free tier with limited features, including:

• Up to 3 team members

• Up to 6 shift categories

• 1 saved preset for categories and team members

• PDF export with watermark

• Advertisement-supported experience

4.2 Premium Subscription

The App offers a premium subscription ("FairShift Premium") that provides additional features, including:

• Unlimited team members and categories

• Unlimited saved presets

• Save and load multiple projects

• PDF customization options

• Watermark-free PDF exports

• Project organization with folders and search

• Ad-free experience

4.3 Subscription Terms

• Premium subscriptions are billed on a recurring basis (monthly or annually) through your Apple ID account

• Payment will be charged to your Apple ID account at confirmation of purchase

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period

• You may manage and cancel your subscription through your Apple ID Account Settings

• No refunds will be provided for any unused portion of a subscription period, except as required by applicable law

4.4 Price Changes

We reserve the right to change subscription pricing at any time. Price changes will take effect at the start of your next billing period following notice of the change.

5. User Responsibilities

You agree to:

• Use the App only for lawful purposes and in accordance with these Terms

• Provide accurate information when using the App

• Not use the App in any way that could damage, disable, or impair the App

• Not attempt to gain unauthorized access to any part of the App

• Not use the App to create schedules that violate any applicable labor laws or regulations

• Verify all generated schedules for accuracy before implementation

• Not reverse engineer, decompile, or disassemble the App

6. Intellectual Property

6.1 Our Rights

The App, including its design, features, functionality, code, graphics, and content, is owned by us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our written permission.

6.2 Your Content

You retain ownership of any data you input into the App (team member names, categories, schedules, etc.). By using the App, you grant us a limited license to process this data solely to provide the App's functionality.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without any obligation to compensate you.

7. Third-Party Services

7.1 Advertisements

The free tier of the App displays advertisements provided by third-party advertising networks. These networks may collect certain information as described in our Privacy Policy.

7.2 Apple Services

The App uses Apple's StoreKit for subscription management. Your use of these services is subject to Apple's terms and conditions.

8. Disclaimers

8.1 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Scheduling Disclaimer

THE APP IS A TOOL TO ASSIST WITH SCHEDULE CREATION. WE DO NOT GUARANTEE THAT:

• Generated schedules will be fair, balanced, or suitable for your specific needs

• The scheduling algorithm will produce error-free results

• The App will comply with your local labor laws or workplace regulations

• Schedules will satisfy all team members or resolve workplace disputes

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND APPROVING ALL SCHEDULES BEFORE IMPLEMENTATION.

8.3 No Professional Advice

The App does not provide legal, human resources, or professional workplace advice. Consult appropriate professionals for guidance on labor law compliance and workplace policies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL

• WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM SCHEDULING ERRORS, WORKPLACE DISPUTES, OR LABOR LAW VIOLATIONS

• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Babak Sameul Sadri and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App

• Your violation of these Terms

• Your violation of any rights of another party

• Any schedules you create or implement using the App

11. Termination

11.1 By You

You may stop using the App at any time by deleting it from your device. To cancel a subscription, you must do so through your Apple ID Account Settings.

11.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice.

11.3 Effect of Termination

Upon termination, your right to use the App will immediately cease. Sections 6, 8, 9, 10, and 12 shall survive termination.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at robert@twilightphotovideo.com. We will attempt to resolve the dispute within 30 days.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

12.3 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms​

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the App or by other means. Your continued use of the App after the effective date of revised Terms constitutes your acceptance of the changes.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
